N99panel End User License Agreement

1. Introduction

This End User License Agreement (“Agreement”) is a legal contract between you (“User” or “Licensee”) and Ntech Syspro (OPC) Pvt. Ltd. (“Licensor”). By downloading, installing, or using the N99panel (“Software”), you agree to be bound by these terms.

2. Grant of License

Licensor grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software strictly in accordance with this Agreement. This license is for use on one device or system only. Its uage is via a valid active license key.

Note: The Software is licensed, not sold, and Licensor retains all ownership rights.

3. Restrictions on Use

You agree not to, and will not permit others to:

– License, sell, rent, or commercially exploit the Software.

– Modify, disassemble, decompile, or reverse engineer any part of the Software.

– Remove or obscure any proprietary notices (copyright, trademark).

– Use the Software for any illegal or unauthorized purpose.

4. Intellectual Property

All intellectual property rights, including copyrights, patents, and trademarks in the Software, remain the sole property of the Licensor or of the original source(s), as applicable. You acknowledge that you gain no ownership interest by using the Software.

5. Privacy and Data Use

You consent to the collection of technical data and related information to facilitate software updates and support.

6. Termination

This Agreement is effective until terminated by you or the Licensor. Your rights under this license will terminate automatically without notice if you fail to comply with any term. Upon termination, you must cease all use and delete all copies of the Software. Lincesor can terminate this agreement without any notice, in-case of non-renewal of the license key or where likely fraud is detected or believed to have taken place.

7. Time Bound Nature

This license is only valid for as long as you, the Licensee, have a valid subscription of N99panel license key. Upon non-renewal or cancellation of license key, this agreement will automatically terminate.

8. Disclaimer of Warranties

The Software is provided “AS IS” and “AS AVAILABLE” with all faults and without warranty of any kind. Licensor disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by law, Licensor shall not be liable for any direct, indirect, incidental, or consequential damages (including loss of profits or data). Licensor’s total liability shall not exceed INR (Indian Rupee) Rs.1000.

9. Governing Law

This Agreement shall be governed by the laws of India, without regard to conflict of law principles.
